Terms of Service

Applies to: the Goldy mobile application (the "App").
Developer / Provider: Nam Dinh (individual) ("we", "us", "Goldy").

ℹ️ This is a courtesy English translation; the Vietnamese version prevails for users in Vietnam (see Section 18).

1. Acceptance

By downloading, installing or using Goldy, you agree to these Terms and the Privacy Policy. If you do not agree, please do not use the App.

You must be at least 12 years old to use Goldy. If you are under 18, you confirm that you have your parent's/guardian's consent and that they accept responsibility under these Terms. We do not knowingly allow anyone under 12 to create an account.

2. What Goldy is

Goldy helps you record the gold price at the time of purchase, track updated gold prices, and automatically calculate gains/losses on the gold you enter. Goldy is a personal tracking and record-keeping tool, it is not an exchange, does not buy/sell gold, does not hold your money or gold, and does not provide investment advice (see Section 9).

3. Definitions

• Service: the App and all of its features and content.
• Account: the profile you create to use and sync your data.
• Your Content: the data you enter (gold quantity, purchase price, date, notes, etc.).
• Price Data: reference gold prices sourced from third-party data providers.

4. License (EULA)

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use Goldy for your personal, non-commercial purposes on an Apple-branded device that you own or control, subject to these Terms and the App Store Usage Rules.

You may NOT:

• Copy, distribute, sell, rent or sublicense the App;
• Reverse-engineer, decompile, disassemble or attempt to derive the source code, except where permitted by law;
• Remove copyright/trademark notices;
• Use the App to break the law, infringe others' rights, or attack/abuse the systems (bots, scraping, unauthorized vulnerability probing, overloading, etc.);
• Use the App to provide services to third parties without our written agreement.

All rights not expressly granted are reserved.

5. Accounts & Account deletion

• You may create an account using Sign in with Apple or Sign in with Google to save and sync Your Content (holdings) to our servers (cloud) across devices.
• You are responsible for providing accurate information and keeping your credentials confidential; all activity under your account is your responsibility. Notify us immediately if you suspect unauthorized access.
• Account deletion: You can delete your account and all related data directly in the App (Settings → Account → Delete Account) or by contacting hello@lumilabs.space. After deletion, data is removed per the Privacy Policy (except where law requires retention).

6. Unacceptable use

You agree not to:

• Upload unlawful/fraudulent content;
• Impersonate others;
• Disrupt the Service;
• Automate unauthorized access;
• Use Goldy for any unlawful purpose.

We may suspend or terminate access if you violate these Terms.

7. In-app purchases (IAP)

• Goldy is free. In the future, the App may show advertising (Section 8) and offer a "Remove Ads" option as a one-time, non-consumable purchase.
• All in-app purchases are processed by Apple via the App Store; we do not collect or store your card/payment details. Prices are shown at the time of purchase; taxes (if any) apply per applicable rules.
• Refunds are handled by Apple under App Store policy; please request refunds through Apple. The "Remove Ads" purchase is tied to your Apple ID and can be restored (Restore Purchases).
• This is a one-time purchase, not an auto-renewing subscription.

8. Advertising

The current version may not show ads. When advertising is enabled, the App may display ads from third-party ad networks, which may process certain device data under their own policies (see Privacy Policy). You may purchase "Remove Ads" (Section 7) to remove ads.

9. ⚠️ Gold-price disclaimer, NOT investment advice

• Gold prices and gain/loss figures in Goldy are for reference only, sourced from third-party data providers, and may be delayed, inaccurate or interrupted. We do not guarantee their accuracy, completeness or timeliness.
• Goldy does not provide financial, investment, tax or legal advice and does not recommend buying/selling gold. All financial decisions are yours and at your own risk. Consider consulting a licensed professional.
• Goldy does not execute transactions, does not hold assets, and is not liable for any loss arising from your reliance on data in the App.

10. Intellectual property

The App, the name and "Goldy" logo, designs, source code and content we provide are owned by us (or our licensors) and protected by law. These Terms transfer no intellectual property rights to you beyond the license in Section 4.

11. Your content

You retain ownership of Your Content (the gold data you enter). You grant us a limited license to store, back up, sync and process Your Content solely to operate and provide the Service to you (e.g., syncing across devices). You are responsible for the lawfulness of the content you enter.

12. Warranty disclaimer

The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind (express or implied) as to fitness for a particular purpose, uninterrupted or error-free operation, or accuracy of data, to the maximum extent permitted by law.

Nothing in this Section excludes or limits consumer rights that cannot be excluded under Vietnamese law.

13. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential damages, loss of data, loss of profit, or financial loss arising from your use of (or inability to use) Goldy. Our total liability, if any, shall not exceed the amount you paid for the App in the last 12 months (or VND 0 if you use the free version).

Exception: The above limit does not apply to liability arising from death or personal injury caused by our fault, our intentional or gross misconduct, or any liability that may not be excluded/limited under consumer-protection and Vietnamese law.

14. Indemnification

To the extent permitted by law and proportionate to your degree of fault, you agree to be responsible for third-party claims arising directly from your:

• (a) Unlawful use of Goldy;
• (b) Entering content into Goldy that infringes others' rights;
• (c) Material breach of these Terms.

This obligation does not apply to damages caused by our fault.

15. Suspension & Termination

We may suspend or terminate your access if you violate these Terms. Where feasible, we will give prior notice, except for serious violations, safety/legal risk, or where law requires immediate action. Unless prohibited by law, you may export your data before termination (see Privacy Policy). You may stop using the App and delete your account at any time (Section 5). The provisions on intellectual property, disclaimers, limitation of liability and dispute resolution survive termination.

16. Changes to Terms & Service

We may update these Terms or change/discontinue features over time. For material changes (affecting your rights/obligations), we will give reasonable prior notice in the App or by email. If you do not agree, you may stop using and delete your account before the changes take effect; continued use after the effective date means acceptance. Changes do not apply retroactively to disputes that arose beforehand.

17. App Store / Apple-specific terms (EULA Minimum Terms)

For the version downloaded from the Apple App Store, Goldy's EULA is Apple's standard Licensed Application End User License Agreement (LAEULA), as supplemented by these Terms; in case of conflict regarding the App Store relationship, Apple's terms prevail. The following minimum terms form part of the EULA:

a. Acknowledgement: These Terms are concluded between you and Nam Dinh, not Apple. Apple is not responsible for the App or its content. We, not Apple, are solely responsible for Goldy.

b. Scope of License: The license granted to you is non-transferable and only for use on Apple-branded products that you own/control, per the Usage Rules in the App Store Terms of Service.

c. Maintenance & Support: We are solely responsible for maintenance and support of the App. Apple has no obligation to furnish maintenance/support.

d. Warranty: We are responsible for any warranties (if any). If the App fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) to you; to the extent permitted by law, Apple has no other warranty obligation.

e. Product Claims: We (not Apple) are responsible for addressing your or any third party's claims relating to the App, including product liability, legal/regulatory non-compliance, and consumer protection.

f. Intellectual Property: In the event of a third-party claim that the App infringes intellectual property rights, we (not Apple) are solely responsible for the investigation, defense, settlement and discharge of such claim.

g. Legal Compliance: You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist-supporting", and that you are not on any U.S. Government list of prohibited or restricted parties.

h. Developer Contact: For any questions, complaints or support regarding the App, contact: Nam Dinh, hello@lumilabs.space.

i. Third-Party Terms: You must comply with applicable third-party terms when using the App.

j. Third-Party Beneficiary: You acknowledge that Apple and its subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance, Apple has the right (and is deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary.

18. General provisions

• Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in effect; the invalid provision is replaced by a valid one closest to the original intent.
• Entire agreement: These Terms together with the Privacy Policy form the entire agreement between you and us regarding Goldy.
• No waiver: Our failure to enforce a right is not a waiver of that right.
• Force majeure: We are not liable for delay/interruption due to causes beyond our reasonable control (natural disasters, third-party infrastructure/provider failures, power outages, cyber-attacks, changes in law, etc.).
• Assignment: You may not assign these Terms; we may assign to a lawful successor with equivalent protection and will notify you.
• Language: Where this document is provided bilingually, the Vietnamese version is the legally prevailing version for users in Vietnam.

19. Governing law & dispute resolution

These Terms are governed by the laws of Vietnam. Disputes will first be resolved by negotiation; failing that, by a competent court in Vietnam, unless consumer-protection law provides otherwise.
